Single User Development Licence Agreement

IMPORTANT - PLEASE READ CAREFULLY

This licence agreement is displayed conspicuously so that you can read it before ordering the PIC 16F628A On Screen Display routines package. Ordering the package indicates that you have agreed to the terms and conditions of this agreement. If you do not agree with them you should not order the package.

This single user development licence is a legal agreement between you the user whether an individual or a legally recognised entity (herein named "LICENSEE") and The BlackBoxCamera^TM Company Limited for the PIC 16F628A On Screen Display Example Code software which includes the OSD screen display interface routines and any demonstration programs, (herein named the "SOFTWARE PRODUCT") and any related printed material.

Use of the SOFTWARE PRODUCT is governed by the terms of this single user development licence. End users shall not install, assemble or use any software unless the end user has first agreed to the terms and conditions of this licence agreement.

By exercising rights to make any use of the SOFTWARE PRODUCT, the LICENSEE agrees to be bound by the terms of this licence agreement. If the LICENSEE does not agree to the terms and conditions of this licence agreement, the LICENSEE may not use the SOFTWARE PRODUCT and should delete it promptly.

SOFTWARE PRODUCT LICENCE
The SOFTWARE PRODUCT is supplied to the LICENSEE in SOURCE CODE form. The SOURCE CODE may not be disclosed to third parties, copied or duplicated in any form, in whole or in part, for the use of anyone except the LICENSEE, without the prior written permission of The BlackBoxCamera^TM Company Limited. The SOFTWARE PRODUCT is licensed, not sold, for use by the LICENSEE only upon the terms of this licence agreement and The BlackBoxCamera^TM Company Limited reserves any rights not expressly granted to the LICENSEE. The LICENSEE is responsible for the selection of the SOFTWARE PRODUCT to achieve the intended results, and for installation, use and the result obtained form the SOFTWARE PRODUCT. The LICENSEE owns the media on which the SOFTWARE PRODUCT is recorded, but The BlackBoxCamera^TM Company Limited retains ownership of all copies of the SOFTWARE PRODUCT itself.

GRANT OF LICENCE
This licence agreement hereby grants the LICENSEE the following non-exclusive rights to:

Assemble the SOFTWARE PRODUCT in conjunction with any other source code developed by the LICENSEE, or by third parties, to create any number of final executable programs.

Distribute any number of final executable programs incorporating the assembled SOFTWARE PRODUCT on any number of target microprocessor platforms.

Distribute any number of source code programs developed by the LICENSEE which include calls to the routines in the SOFTWARE PRODUCT provided the routines themselves are not included in the distribution and full instructions are provided for obtaining the SOFTWARE PRODUCT from The BlackBoxCamera^TM Company Limited.

REPRODUCTION AND DISTRIBUTION
Any reproduction or redistribution of the SOFTWARE PRODUCT not in accordance with this licence agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will
be prosecuted to the maximum extent possible.

The LICENSEE must use reasonable efforts to maintain the confidentiality of the SOURCE CODE, including ensuring that it is installed and used only in accordance with the licence agreement and that it is not otherwise used, disclosed or copied.

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

TERMINATION
Without prejudice to any other rights, The BlackBoxCamera^TM Company Limited may terminate this licence agreement if the LICENSEE fails to comply with the terms and conditions of this licence agreement. In such an event, the LICENSEE must destroy ALL copies of the SOFTWARE PRODUCT and ALL its component parts.

Where required by The BlackBoxCamera^TM Company Limited, the LICENSEE shall do all such things and acts, including but not limited to, signing a statutory declaration or affidavit verifying that the LICENSEE has destroyed ALL copies of the SOFTWARE PRODUCT and ALL of it's components in accordance with The BlackBoxCamera^TM Company Limited's requirements following the termination of this licence agreement.

OTHER RESTRICTIONS
The LICENSEE may not rent or lease the SOFTWARE PRODUCT. The LICENSEE is allowed to permanently transfer all rights under this licence agreement, provided that the LICENSEE retain no copies of the SOFTWARE PRODUCT, transfers all of the SOFTWARE PRODUCT (including any printed materials and this licence agreement), and the recipient agrees to the terms of this licence agreement.

COPYRIGHT
All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any accompanying printed materials), and any copies of the SOFTWARE PRODUCT, are owned by The BlackBoxCamera^TM Company Limited. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, the LICENSEE must treat the SOFTWARE PRODUCT like any other copyrighted
material.

It is required that this SOFTWARE PRODUCT contains the author's (The BlackBoxCamera^TM Company Limited) copyright notification. There is a mandatory copyright parameter "Copyright © 2000 - 2008 by The BlackBoxCamera^TM Company Limited All rights reserved." contained within any the SOFTWARE PRODUCT and related materials which cannot be removed.

LIMITED WARRANTY
The BlackBoxCamera^TM Company Limited warrants that the SOFTWARE PRODUCT, unless modified by the LICENSEE, will substantially perform the functions or generally conform to the specifications published by The BlackBoxCamera^TM Company Limited in relation to the SOFTWARE PRODUCT.

The BlackBoxCamera^TM Company Limited does not warrant that the SOFTWARE PRODUCT will meet the LICENSEE'S specific requirements or that the operation of the SOFTWARE PRODUCT will be entirely "SOFTWARE ERROR" free (failure of the SOFTWARE PRODUCT to perform the functions described in the documentation). Under the Limited Warranty Agreement The BlackBoxCamera^TM Company Limited will undertake all reasonable actions to correct within a reasonable period of time any reported SOFTWARE ERRORS. The BlackBoxCamera^TM Company Limited does not warrant that all SOFTWARE ERRORS will be corrected. The warranty set forth above is in lieu of all other express warranties, whether oral or written.

The LICENSEE acknowledges that the SOFTWARE PRODUCT is purchased "AS IS" and based upon the LICENSEE'S own knowledge, own requirements and needs, and not based upon any representation or warranty of The BlackBoxCamera^TM Company Limited.

To the maximum extent permitted by law, The BlackBoxCamera^TM Company Limited disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "AS IS" without warranty of any kind, either express or implied, including, without limitation, the implied
warranties or merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with the LICENSEE.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES
In no event shall The BlackBoxCamera^TM Company Limited (its subsidiaries, affiliates or any of their officers, directors, employees, agents, representatives, information providers or licensors) be liable for any direct, indirect, punitive, incidental, special, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this SOFTWARE PRODUCT, whether based on contract, tort, strict liability or otherwise, even if The BlackBoxCamera^TM Company Limited (its subsidiaries, affiliates or any of their officers, directors, employees, agents, representatives, information providers or licensors) has been advised of the possibility of such damages prior to the purchase of the SOFTWARE PRODUCT by the LICENSEE.
Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not be applicable.

HIGH RISK ACTIVITIES
The SOFTWARE PRODUCT is not fault-tolerant and is not designed, manufactured or intended
for use or resale in on-line control equipment in hazardous environments requiring fail-safe
performance, in which the failure of the SOFTWARE PRODUCT could lead directly to death, personal injury, or severe physical or environmental damage ("High Risk Activities"). Accordingly The BlackBoxCamera^TM Company Limited specifically disclaim any express or implied warranty of fitness for HIGH RISK ACTIVITIES.

UPDATES
This licence agreement does not grant the LICENSEE any right to any enhancement or update
to the SOFTWARE PRODUCT. Enhancements and updates, if available, may be made available
in the future from The BlackBoxCamera^TM Company Limited. The BlackBoxCamera^TM Company Limited may charge a fee for enhanced or updated SOFTWARE PRODUCT.

SEVERABILITY
If any provision of this agreement is held to be invalid, unenforceable or illegal for any reason, this
licence Agreement will remain otherwise in full force and effect apart from those provisions,
which will be deleted.

GOVERNING LAW
This licence agreement shall be subject and construed according to the English Law and each of the parties agree to accept the jurisdiction of the courts of England, whose courts shall be the courts of sole jurisdiction in relation to this licence agreement and any disputes arising out of it.
